1. C.E. NIEHOFF & CO. END USER LICENSE AGREEMENT (EULA)

IMPORTANT: PLEASE READ CAREFULLY. This End User License Agreement (“Agreement”) is a legal contract between you (either an individual or a single entity, hereafter “Licensee”) and C. E. Niehoff & Co. (“CEN”). BY CLICKING “I AGREE,” SUBMITTING A SOFTWARE REQUEST FORM, OR INSTALLING AND USING THIS SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

1. OWNERSHIP AND TITLE The Software and any documentation are protected by Federal Copyright Law. CEN retains all title to and ownership of the Software. This is a license to use the Software, not a sale of the Software itself.
2. GRANT OF LICENSE CEN hereby grants the Licensee a non-exclusive license authorizing the Licensee to use the enclosed Software for a limited testing and diagnostic period. This Software is intended for use only with C. E. Niehoff & Co. products. Use of this product by anyone other than the intended Licensee terminates this license immediately.
3. RESTRICTIONS The Licensee may use this Software provided the following restrictions are not violated:

• You may not modify, de-compile, disassemble, reverse engineer, or translate this Software.
• You may not distribute, rent, sub-license, or otherwise make the Software available to others without prior written consent from CEN.
• In the case of an authorized transfer, the transferee must agree to be bound by all terms of this Agreement.

4. EXPORT CONTROL This Software is subject to United States export control laws, including the Export Administration Regulations. You agree not to export, re-export, or divert the Software in contravention of those laws.

5. DATA COLLECTION, USE, AND RETENTION

The Software is designed to collect and transmit data from the connected application and vehicle to CEN. This data may include, but is not limited to:

• Technical Data: J1939 CAN bus data, diagnostic codes, and performance metrics.
• Vehicle/Asset Identifiers: Vehicle Identification Number (VIN), model, year, mileage, and inventory numbers.
• Customer Information: Customer name and associated application details.

By using this Software, you grant CEN a perpetual license to use this data for diagnostic analysis, product improvement, and warranty verification. CEN may retain this data for as long as necessary to fulfill business, safety, or legal obligations.

6. THIRD-PARTY COMPONENTS

This Software utilizes a third-party library provided under the MIT License. The required copyright notice and permission notice for this component are included in the Software’s installation directory. This component is provided “AS IS” without warranty of any kind.

7. NO SUPPORT AND WARRANTY DISCLAIMER No formal support is offered for this Software at this time. This Software and documentation are provided “AS IS” without any warranty as to performance, merchantability, or fitness for a particular purpose. The Licensee assumes the entire risk as to the quality and performance of the Software.
8. LIMITATION OF LIABILITY In no event shall CEN or its developers be liable for any direct, incidental, consequential, or other damages (including lost revenue, lost profit, lost or damaged data, or business interruption) resulting from the use of this Software, even if CEN has been advised of the possibility of such damages.

9. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois. Any legal action or proceeding relating to this Agreement shall be instituted in the state or federal courts located in Cook County, Illinois.

10. TERMINATION You may terminate this License at any time by uninstalling and destroying all copies of the Software. The License will terminate automatically, without notification, if you fail to comply with any term or condition in this Agreement.
